Served as their Mexican legal counsel for all legal matters related to their subsidiary in Mexico, including: the determination of the corporate structure to be used for legal protection and international tax advantages; incorporation of the appropriate entity and preparation of related documents that included legal protection mechanisms; negotiation and drafting of a joint venture agreement with a Mexican partner; preparation of collaboration contracts with strategic entities; drafting of employment contracts; preparation of lease and sublease agreements; drafting of credit agreements and securitization documents; obtaining FM3 visas for key U.S. executives on an expedite manner; and general supervision of their legal compliance on various areas, such as labor, tax, immigration, and education.

For a U.S. publisher company with operations in Latin America
Strategized and implemented the legal regularization and corporate restructuring of the conglomerate, compliant with international tax advantages, from the formation of required companies in Mexico and in the U.S., to overseeing transfer pricing studies and drafting various agreements, including inter-company licensing of intellectual property, exclusive distributorship agreements, inter-company services contracts, and other key legal documents in English and Spanish.

For a U.S. owned industrial complex in Mexico
Designed and implemented, together with an international tax consultant, the optimal transaction structure per Mexico and U.S. tax laws for the sale of their industrial complex. Assisted in negotiations, creatively solved important legal issues that facilitated the sale, and drafted the purchase contract and related documents.

For a U.S. company that built a 4,500 acre industrial park in Mexicali
Assisted with the legal analysis on the optimal corporate structure to be used as the vehicle for investment, considering international tax consequences; performed due diligence on title issues; drafted a joint venture agreement, credit agreements, and securitization documents; prepared purchase and sale of real property agreements; and served as liaison with local attorneys and notarios.

For a U.S. leading manufacturer of liftgates for trucks
Drafted a construction of industrial building contract for their Mexican manufacturing facility and advised on specific labor and immigration issues.

For a U.S. leading manufacturer of high-end injection molding machines for plastics
Prepared a bailment agreement and related legal documents enforceable in Mexico and in the U.S. to secure payment of machinery exported to Mexico.

For a U.S. based international technology corporation
Managed their intellectual property, including the filing of trademarks, domain names, and copyright reserves in the U.S. and Latin America. Drafted confidentiality and licensing agreements, considering U.S. and Mexican laws.

For a multinational publicly traded technology company based in Israel
Drafted stock option agreements, intervened in drafting and negotiating common stock investment agreements, and prepared and filed various forms with the SEC: Schedule 13 D and forms 3, 4, 5, 8k, and 10Q; and contributed in preparing S-1 and 10K forms.  Negotiated successfully the non-exclusivity of a pre-existing private placement agency agreement with an investment bank, were the exclusivity was an issue. Presented written opinions to directors and officers on the legal effects of pre-existing investment agreements regarding conversion rights, cash penalties for non-compliance, and suggested alternatives for negotiation on legal matters.
